1. Agreement to Terms
By accessing or using the website eidos.works (the "Site") or engaging the services of Fairfax Ventures LLC, doing business as Eidos ("Eidos," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or our services.
2. Services
Eidos provides workflow consulting and custom automation services for businesses. The specific scope, deliverables, timeline, and pricing for each engagement will be outlined in a separate service agreement or statement of work between you and Eidos. These Terms govern your general use of the Site and provide a framework for our business relationship.
3. Use of the Site
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates any applicable law or regulation
- Attempt to interfere with or disrupt the Site or its servers
- Use any automated system to access the Site without our express written permission
- Introduce any viruses, malware, or other harmful material
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
4. Intellectual Property
The Site and its contents, including but not limited to text, graphics, logos, and software, are the property of Eidos and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Site without our prior written consent.
For client engagements: unless otherwise specified in your service agreement, upon full payment, you will own the custom automations and deliverables we build specifically for your business. We retain the right to use general knowledge, techniques, and non-proprietary components developed during the engagement for other clients.
5. Client Responsibilities
When engaging our services, you agree to:
- Provide timely and accurate information necessary for us to deliver the services
- Grant reasonable access to systems and data as needed for the engagement
- Ensure you have the right and authority to share any data or grant access to systems you provide
- Respond to requests for feedback and approvals in a timely manner
- Pay all fees as outlined in the applicable service agreement
6. Payment Terms
Payment terms, including amounts, schedules, and methods, will be specified in your service agreement. Unless otherwise agreed, invoices are due upon receipt. Late payments may be subject to a fee of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for overdue accounts.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes, but is not limited to, business processes, customer data, trade secrets, and technical specifications. This obligation survives the termination of any service agreement.
8. Limitation of Liability
To the fullest extent permitted by law, Eidos and its members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Site or our services.
Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you to Eidos in the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
The Site and our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any automations will produce specific business results.
10. Indemnification
You agree to indemnify, defend, and hold harmless Eidos and its members, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Site, your breach of these Terms, or your violation of any law or the rights of any third party.
11. Termination
We may terminate or suspend your access to the Site at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Termination of specific service engagements will be governed by the applicable service agreement.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Texas.
13. Changes to These Terms
We reserve the right to update these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Site or our services after any changes constitutes your acceptance of the updated Terms.
